Agreement

These Terms of Service (the "Terms") form a contract between you and FoxAVideo Tech Pte. Ltd. ("we", "us"), a company incorporated in Singapore. They apply when you purchase, activate, or renew a license for Tholos AI (the "Software").

By purchasing or activating a license, you agree to these Terms, to the End User License Agreement, and to the Privacy Policy. If you do not agree, do not purchase, install, or activate the Software.

Tholos AI is provided as installable desktop software. We do not require user accounts or registration to use the Software itself; your license key is the only credential you need.

Licenses

Tholos AI is sold as a prepaid license. Two license types are available:

• Annual licenses — full use of the Software, including all updates released during the licensed term. Terms of one, two, or three years may be purchased up front; multi-year terms are discounted.
• Lifetime licenses — a one-time payment for perpetual use of the purchased edition, including all updates to the major version purchased.

Each license tier (Standard, Professional, Business) entitles you to use the Software on the number of devices stated in the End User License Agreement.

Licenses do not renew automatically, and we do not store a payment method. We may email a reminder before your term ends; continuing past the end of a term requires an explicit renewal purchase at the then-current price.

If your annual license expires, the Software's processing features stop functioning until you renew. Your documents, settings, Knowledge Base, and downloaded models remain on your device and are restored to full use when you renew.

Payments

Prices are listed in US Dollars and may not include taxes or duties that apply where you live. Payment is processed by Stripe or PayPal; we do not handle or store your full card details. By providing payment information, you authorize us (through the payment processor you choose) to charge the applicable license fee as a one-time payment.

We may change list prices from time to time. The price shown at checkout is the price you pay; a price change never affects a term you have already paid for.

Refunds

We offer a 30-day money-back guarantee on first purchases of any tier. If you are not satisfied within 30 days of initial purchase, email support@tholosai.com with your license key and we will refund the full amount paid.

Because licenses are prepaid and never auto-renew, there are no automatic charges to refund. Renewal purchases are covered by the same 30-day money-back guarantee from their payment date. We may grant refunds outside that window at our discretion for exceptional circumstances. Full details are in our Refund Policy.

Term and termination

Annual licenses run for their prepaid term and then expire — there is no auto-renewal to cancel and no payment method on file. Lifetime licenses do not expire. We do not pro-rate refunds for unused portions of a paid term unless covered by the 30-day money-back guarantee.

We may suspend or terminate your license, with notice, if you materially breach these Terms or the EULA, or if we are required to do so by law.

Acceptable use

You agree not to use Tholos AI to:

• Process content that is unlawful where you operate, including content that depicts the sexual abuse of minors
• Generate or distribute material that infringes the intellectual property rights of others
• Circumvent the licensing or device-activation mechanism, including by reverse engineering, key sharing, or distributing modified binaries
• Resell, sublicense, or provide the Software as a service to third parties without a written agreement with us
• Use the Software to develop a directly competing product

Beyond these restrictions, what you do with Tholos AI on your own machine is your own business. We do not monitor, log, or filter local activity.

Service availability

Tholos AI is designed to operate fully offline once activated. However, the following online services support the product and may be unavailable from time to time:

• Initial license activation and re-activation after hardware changes
• The model download catalog
• The update server
• The customer portal and payment system

We aim for high availability but do not guarantee uninterrupted access. Extended outage of the activation server will not stop the Software from running for already-activated devices, provided the license has not expired.

No warranty

The Software is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy of outputs from any AI model, non-infringement, and quiet enjoyment.

AI models bundled or downloaded through Tholos AI may produce inaccurate, biased, or otherwise unsuitable output. You are responsible for reviewing and validating any output before relying on it, especially in regulated contexts. Compliance with sector regulations (such as HIPAA, GDPR, or financial regulations) depends on your overall workflow and is not guaranteed by the Software alone.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, arising out of or related to these Terms or the Software, even if advised of the possibility of such damages.

Our total aggregate liability arising out of or related to these Terms or the Software, regardless of the cause of action, will not exceed the amounts you paid us for the Software in the 12 months preceding the event giving rise to the liability.

Governing law and disputes

These Terms are governed by the laws of the Republic of Singapore, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts of Singapore for any dispute not subject to arbitration under applicable consumer- protection law.

Nothing in these Terms limits any non-waivable consumer rights you may have under the laws of your country of residence.

Changes to these Terms

We may update these Terms over time. We will update the "Last updated" date above and, for material changes, notify existing license holders by email at least 30 days before the new Terms take effect. Continued use of the Software after the effective date constitutes acceptance.
